By downloading, installing, or using the App, you ("the User") agree to be bound by the following terms and conditions. Please read this agreement carefully before using the App. If you do not agree to any part of this agreement, you must not use the App.
Subject to your compliance with this agreement, Yesso grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the App for your personal or legitimate business purposes, in accordance with the terms and conditions of this agreement.
This license does not allow you to:
3.1 You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account. You agree to notify Yesso immediately of any unauthorized use of your account or any other breach of security.
3.2 You agree to use the App in compliance with all applicable laws, regulations, and third-party rights. You shall not upload, post, transmit, or otherwise make available through the App any Content that is:
3.3 When using the social features of the App, such as sharing tasks, collaborating with others, or syncing progress, you shall respect the rights and opinions of other Users. You shall not engage in any behavior that disrupts the social order of the App or harms the interests of other Users.
3.4 You are solely responsible for the Content you upload, post, transmit, or otherwise make available through the App, and for any consequences arising from such Content. Yesso does not endorse or assume any responsibility for any Content posted by Users.
4.1 All intellectual property rights in the App, including but not limited to copyrights, trademarks, patents, trade secrets, and other proprietary rights, are owned by Yesso or its licensors. This agreement does not grant you any rights to use the intellectual property of Yesso or its licensors, except as expressly provided herein.
4.2 You retain all intellectual property rights in the Content you upload, post, transmit, or otherwise make available through the App. By making such Content available, you grant Yesso a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, display, and perform such Content for the purpose of operating, promoting, and improving the App, and for providing the services of the App to you and other Users.
Yesso respects the privacy of Users. The collection, use, storage, and disclosure of your personal information by Yesso are governed by the App's privacy policy, which is incorporated into this agreement by reference. By using the App, you agree to the collection, use, storage, and disclosure of your personal information in accordance with the privacy policy.
6.1 This agreement shall remain in effect until terminated by either party. You may terminate this agreement at any time by uninstalling the App and ceasing to use all services provided by the App.
6.2 Yesso reserves the right to terminate this agreement and your access to the App at any time, without prior notice, if you breach any of the terms and conditions of this agreement. Upon termination, you shall immediately cease using the App and uninstall it from your device.
6.3 Upon termination of this agreement, all licenses granted herein shall automatically terminate, and you shall no longer have the right to use the App. The provisions of this agreement that by their nature should survive termination, including but not limited to provisions relating to intellectual property rights, liability, and indemnification, shall remain in effect.
7.1 THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. YESSO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
7.2 Yesso does not guarantee the accuracy, completeness, or reliability of any Content available through the App. You acknowledge that any reliance on such Content is at your own risk.
IN NO EVENT SHALL YESSO OR ITS LICENSORS, SUPPLIERS, PARTNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE APP, EVEN IF YESSO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YESSO'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE APP SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO YESSO FOR THE USE OF THE APP, IF ANY.
You agree to indemnify, defend, and hold harmless Yesso and its licensors, suppliers, partners, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the App, your breach of this agreement, or your violation of any laws, regulations, or third-party rights.
Yesso reserves the right to modify this agreement at any time. When we make changes to this agreement, we will post the revised agreement on the App or through other appropriate channels and update the "Last Updated" date. Your continued use of the App after the revised agreement is posted constitutes your acceptance of the revised agreement. If you do not agree to the revised agreement, you must stop using the App.
11.1 This agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.
11.2 Any dispute arising out of or in connection with this agreement or the use of the App shall first be resolved through friendly negotiation between you and Yesso. If the negotiation fails, such dispute shall be submitted to the American Arbitration Association for arbitration in accordance with its commercial arbitration rules. The arbitration award shall be final and binding on both parties.
12.1 This agreement constitutes the entire agreement between you and Yesso with respect to the use of the App, and supersedes all prior or contemporaneous agreements, understandings, and communications, whether oral or written.
12.2 If any provision of this agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 The failure of Yesso to enforce any provision of this agreement shall not be construed as a waiver of such provision or any other provision of this agreement.
12.4 You may not assign or transfer this agreement or any of your rights or obligations hereunder without the prior written consent of Yesso. Yesso may assign or transfer this agreement or any of its rights or obligations hereunder without your consent.
